Lava Merchant Terms of Service

1. Introduction

Welcome to Lava. These Merchant Terms of Service ("Merchant Terms") govern your access to and use of Lava's merchant services. By registering for, accessing, or using our merchant services, you agree to be bound by these Merchant Terms.

2. Definitions

  • "Lava", "we", "us", or "our" refers to Lava and its subsidiaries and affiliates.
  • "Merchant", "you", or "your" refers to the business entity accessing or using the Lava merchant services.
  • "User" refers to end-users who create Lava Wallets to pay for AI services.
  • "Wallet" refers to the digital account provided by Lava that stores User funds for AI service usage.
  • "Connection" refers to the link between a User's Wallet and your business that authorizes usage charges.
  • "API Proxy" refers to Lava's service that intercepts, routes, and tracks API calls to AI providers.

3. Merchant Registration and Eligibility

3.1 Account Creation

To create a Lava Merchant account, you must:

  • Be a legally registered business entity
  • Provide accurate and complete business information
  • Connect a valid Stripe account for payment processing
  • Designate an authorized representative with authority to bind your business

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying Lava immediately of any unauthorized use of your account

4. Stripe Integration

4.1 Stripe Connection

  • You must maintain an active Stripe account in good standing
  • You authorize Lava to interact with your Stripe account for payment processing
  • You are responsible for complying with Stripe's terms of service

4.2 Payment Processing

  • Lava will process payments through your connected Stripe account
  • You are responsible for any Stripe fees associated with payment processing
  • You must comply with all applicable payment processing regulations

5. Product Configuration

5.1 Pricing Models

  • You may create products with customizable pricing models through the Lava platform
  • You are responsible for setting appropriate rates, tiers, and markups
  • You must clearly communicate your pricing structure to your Users

5.2 Pricing Changes

  • You may modify your pricing models at any time
  • Changes to pricing may affect existing Connections with Users
  • You are responsible for notifying Users of material pricing changes

6. Connection System

6.1 User Connections

  • You must integrate Lava's checkout flow to enable Users to connect their Wallets to your service
  • You may use reference IDs to track Connections in your system
  • You are responsible for properly implementing the Connection process

6.2 Connection Management

  • You can view and manage active Connections through your Merchant dashboard
  • You may revoke a Connection with a User at any time
  • Revoking a Connection will prevent the User from accessing your AI services through Lava

7. API Integration

7.1 Implementation Requirements

  • You must route applicable API calls through Lava's API Proxy
  • You must implement Lava's authentication system according to our documentation
  • You are responsible for ensuring the security and integrity of your API integration

7.2 Usage Tracking

  • Lava will track token usage for both input and output of API calls
  • Costs will be calculated based on your configured pricing models
  • Usage data will be made available to you through the Merchant dashboard

8. Service Fees

8.1 Fee Structure

  • Lava charges a service fee for each transaction processed through our platform
  • The current service fee is 5% of the transaction amount
  • Lava reserves the right to modify the service fee with notice to Merchants

8.2 Fee Payment

  • Service fees are automatically deducted from transactions
  • You agree not to attempt to circumvent or avoid payment of the service fee

9. Merchant Obligations

9.1 Compliance with Laws

  • You must comply with all applicable laws and regulations in the operation of your business
  • This includes data protection, consumer protection, and AI-specific regulations
  • You are responsible for obtaining any necessary licenses or permits

9.2 User Support

  • You are responsible for providing customer support for your AI services
  • This includes addressing issues related to service quality and performance
  • Lava will provide support for Wallet and Connection-related issues

10. Representations and Warranties

As a Merchant, you represent and warrant that:

  • You have the right to provide your AI services through the Lava platform
  • Your AI services do not infringe on the intellectual property rights of others
  • Your AI services comply with all applicable laws and regulations
  • You will not use Lava to facilitate fraudulent or illegal activities

11. Term and Termination

11.1 Term

  • These Merchant Terms commence upon your acceptance and continue until terminated

11.2 Termination by Merchant

  • You may terminate your Merchant account at any time by notifying Lava
  • Termination will not affect outstanding obligations to Users or Lava

11.3 Termination by Lava

  • Lava reserves the right to suspend or terminate your Merchant account for violations of these Terms
  • Upon termination, you must cease using all Lava services

12. Privacy and Data

12.1 Data Processing

  • Lava collects and processes data as described in our Privacy Policy
  • This includes information about your business, your products, and your Users' usage patterns

12.2 Data Security

  • You must implement appropriate security measures to protect User data
  • You must promptly notify Lava of any data breach affecting Lava-related data

13. Limitation of Liability

  • Lava provides the Merchant services on an "as is" and "as available" basis
  • Lava's total liability arising out of these Terms shall not exceed the amount of service fees paid by you to Lava in the six months preceding the claim

14. Indemnification

You agree to indemnify, defend, and hold harmless Lava from and against any claims, liabilities, damages, losses, and expenses arising from:

  • Your breach of these Merchant Terms
  • Your AI services
  • Your interactions with Users
  • Your violation of any laws or third-party rights

15. Changes to Terms

  • Lava may modify these Merchant Terms at any time
  • You will be notified of material changes to these Terms
  • Continued use of the Merchant services after such modifications constitutes acceptance of the updated Terms

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the USA, without regard to its conflict of law provisions.
